ASAP Auto Shipping TERMS AND CONDITIONS

ASAP AUTO SHIPPING, INC.

CUSTOMER TERMS & CONDITIONS

These Terms & Conditions govern vehicle transportation brokerage services arranged by ASAP Auto Shipping, Inc. ("ASAP"). By placing an order with ASAP, signing an order or agreement, electronically accepting these Terms & Conditions, or authorizing ASAP to arrange transportation, Customer acknowledges and agrees to the following:


1. ASAP'S ROLE AS A TRANSPORTATION BROKER

ASAP Auto Shipping, Inc. is a licensed transportation broker. ASAP arranges transportation of Customer's vehicle with an authorized motor carrier ("Carrier").

ASAP DOES NOT PHYSICALLY TRANSPORT THE VEHICLE.

The Carrier assigned to the shipment is an independent motor carrier and is responsible for the physical transportation, custody, care, and control of the vehicle while the vehicle is in the Carrier's possession.

ASAP will assist with communication and documentation when reasonably necessary throughout the transportation process; however, ASAP does not operate the Carrier's equipment, employ the Carrier's drivers, or control the Carrier's physical transportation operations.


2. CUSTOMER INFORMATION AND ACCURACY OF ORDER

Customer is responsible for providing complete and accurate information regarding the shipment and vehicle.

This includes, but is not limited to:

· Correct year, make, and model

· Vehicle type

· Vehicle dimensions when materially different from factory specifications

· Vehicle operating condition

· Modifications

· Pickup location

· Delivery location

· Contact information

· First available pickup date

· Any condition that may affect loading, unloading, or transportation

Customer must disclose modifications or conditions that may affect transportation, including:

· Lift kits

· Lowered suspension

· Oversized tires or wheels

· Roof racks

· Luggage racks

· Spoilers

· Ground effects

· Aftermarket body components

· Modified suspension

· Non-factory dimensions

· Mechanical conditions affecting loading or unloading

Rates are based upon the information provided by Customer.

If the vehicle or shipment materially differs from the information provided when the order was placed, the transportation rate may be adjusted to reflect the actual vehicle, equipment requirements, or transportation conditions.

ASAP will notify Customer of any required rate adjustment before authorizing additional transportation charges whenever reasonably practicable.


3. TRANSPORTATION PRICE, CARD AUTHORIZATION AND PAYMENT

The total transportation price and applicable payment terms will be stated on Customer's order confirmation.

Transportation charges may consist of an amount paid to ASAP Auto Shipping, Inc. ("ASAP") for brokerage services and an amount due to the assigned Motor Carrier for transportation services.

When Customer provides a credit or debit card as a payment method, a temporary authorization may be processed to verify that the payment method is valid. This authorization is not the Customer's deposit/broker fee and does not mean that the deposit/broker fee has been charged.

Customer payment information is maintained through ASAP's third-party payment processing system. ASAP does not have access to the Customer's full card number after it has been entered into the payment processing system.

ASAP DOES NOT CHARGE THE DEPOSIT/BROKER FEE AT THE TIME THE ORDER IS PLACED.

Unless otherwise stated on the Customer's order, the applicable deposit/broker fee is charged through the payment method provided only after ASAP has assigned an authorized Motor Carrier that is ready, willing, and able to transport the vehicle according to the material terms of the Customer's order.

Once such a Carrier has been assigned, the deposit/broker fee is earned and becomes nonrefundable in accordance with Section 7 of these Terms & Conditions.

Unless otherwise stated on Customer's order, the remaining Carrier balance is due COD (Cash on Delivery).

Authorized COD-Customer payment methods are:

  • Cash
  • Money Order
  • Cashier's Check
  • Zelle

When the order specifies COD-Broker, Customer pays ASAP according to the payment instructions provided on the order, and ASAP is responsible for paying the Carrier.

Customer shall not be required to pay the Carrier more than the amount authorized by ASAP.

Customer should immediately contact ASAP if a Carrier or driver demands an additional transportation charge or different payment method that has not been authorized by ASAP.


4. ZELLE AND PAYMENT SECURITY

When Zelle is an authorized payment method, ASAP will provide or confirm the Carrier's company Zelle telephone number or email address associated with the shipment.

CUSTOMER SHOULD NEVER SEND CARRIER PAYMENT TO A DRIVER'S OR OTHER INDIVIDUAL'S PERSONAL ZELLE ACCOUNT.

Customer should not send Zelle payment to a telephone number, email address, or recipient that differs from the Carrier payment information provided or confirmed by ASAP without first contacting ASAP.

If a driver requests that Customer send payment to a different Zelle account, Customer should contact ASAP before sending payment.

ASAP is not responsible for funds voluntarily sent by Customer to an unauthorized account contrary to the payment instructions provided by ASAP.


5. PICKUP AND DELIVERY DATES

Pickup and delivery dates are estimates unless ASAP expressly agrees otherwise in writing.

Normal pickup time frames are dependent upon the service level selected, route, location, Carrier availability, weather, traffic, equipment availability, mechanical conditions, and other transportation circumstances.

Transportation may be affected by:

· Weather

· Traffic

· Road closures

· Mechanical breakdowns

· Carrier delays

· Driver-hour limitations

· Customer availability

· Pickup or delivery location restrictions

· Acts of government

· Other circumstances outside ASAP's reasonable control

ASAP cannot guarantee an exact pickup or delivery date unless an express written guarantee applicable to the particular order is provided.


6. MONEY-BACK GUARANTEE

For standard service orders, if ASAP is unable to assign a Carrier to transport Customer's vehicle within 15 business days from Customer's first available pickup date, Customer may:

· Keep the order active and allow ASAP to continue arranging transportation; or

· Cancel the order and receive a refund of eligible amounts paid to ASAP.

For a Speedy Pickup Rate order, if ASAP is unable to arrange the applicable pickup service within 1-4 business days as specified in the order, Customer may cancel the order and receive a refund of eligible amounts paid to ASAP.

Refunds due under this guarantee will generally be processed within two business days after cancellation is confirmed.

The money-back guarantee does not apply when transportation cannot be arranged because Customer:

· Provides incorrect or incomplete information

· Makes the vehicle unavailable

· Changes the pickup or delivery location

· Materially changes the first available pickup date

· Refuses a Carrier meeting the agreed transportation requirements and price

· Places conflicting orders with another broker or Carrier

· Otherwise prevents ASAP from performing the brokerage service


7. CANCELLATIONS, CUSTOMER NOT READY AND REFUNDS

All cancellations must be submitted to ASAP in writing.

For standard service, an order cancelled by Customer before expiration of the applicable 15-business-day scheduling period may be subject to a $50 early cancellation fee.

For Speedy Pickup Rate orders, an order cancelled before expiration of the applicable Speedy scheduling period may be subject to a $50 early cancellation fee.

ONCE ASAP HAS ASSIGNED AN AUTHORIZED CARRIER THAT IS READY, WILLING, AND ABLE TO PICK UP AND TRANSPORT THE VEHICLE IN ACCORDANCE WITH THE MATERIAL TERMS OF CUSTOMER'S ORDER, THE CUSTOMER'S DEPOSIT/BROKER FEE BECOMES EARNED AND NONREFUNDABLE.

If the assigned Carrier arrives or is prepared to perform the transportation and Customer is unable or unwilling to release the vehicle for any reason attributable to Customer, the deposit/broker fee remains nonrefundable.

This includes, but is not limited to:

· Vehicle is not ready for pickup

· Vehicle is not at the agreed pickup location

· Customer or authorized pickup contact is unavailable

· Required keys are unavailable

· Required auction, dealership, lienholder, gate, or other release documentation is unavailable

· Vehicle has been sold, traded, moved, repaired, or otherwise made unavailable

· Customer changes the first available pickup date after Carrier assignment

· Customer changes the pickup or delivery location in a manner that prevents the assigned Carrier from performing

· Customer decides not to ship the vehicle

· Customer releases the vehicle to another Carrier or has the vehicle transported by another company

· Vehicle condition, size, modification, or operability materially differs from the information provided by Customer and prevents the assigned Carrier from safely transporting the vehicle

· Any other Customer-caused circumstance prevents the assigned Carrier from completing the scheduled pickup

ASAP WILL MAKE REASONABLE EFFORTS TO ASSIGN ANOTHER CARRIER WHEN CUSTOMER STILL WISHES TO TRANSPORT THE VEHICLE. HOWEVER, ASSIGNMENT OF A REPLACEMENT CARRIER DOES NOT RESTORE, REFUND, OR MAKE REFUNDABLE THE PREVIOUSLY EARNED DEPOSIT/BROKER FEE.

A replacement Carrier may require a different transportation rate or pickup schedule based upon Carrier availability and then-current market conditions. ASAP will communicate any material rate change to Customer before dispatching the replacement Carrier.

If the assigned Carrier fails or becomes unable to perform for reasons not attributable to Customer, ASAP will make reasonable efforts to assign a replacement Carrier, and the Customer's deposit/broker fee will not become nonrefundable solely because of that Carrier's failure.

ASAP may consider documented extenuating circumstances on a case-by-case basis.

No provision of these Terms & Conditions limits any refund right that cannot lawfully be waived.


8. EXCLUSIVE BROKERAGE / DUPLICATE LISTINGS

Customer agrees not to simultaneously engage another transportation broker to arrange the same vehicle shipment while Customer's order with ASAP remains active.

Duplicate broker listings can result in conflicting dispatches, inaccurate market pricing, Carrier confusion, and transportation delays.

If Customer wishes to use another broker, Customer must first cancel the active order with ASAP in accordance with the cancellation provisions of these Terms & Conditions.

If ASAP discovers that the same vehicle shipment has been listed or contracted through another broker while Customer's ASAP order remains active, ASAP may cancel the order and the applicable $50 cancellation fee may be charged.


9. VEHICLE OPERATING CONDITION

Customer must accurately disclose whether the vehicle is operational or inoperable when placing the order.

An operational vehicle must be capable of being safely:

· Started

· Steered

· Braked

· Driven forward and backward

· Loaded and unloaded using ordinary Carrier procedures

If a vehicle is represented as operational but is inoperable when the Carrier arrives, additional transportation or equipment charges may apply.

Customer must notify ASAP immediately if the vehicle's operating condition changes before pickup.


10. INOPERABLE VEHICLES

An inoperable vehicle may require specialized equipment and additional handling.

Unless otherwise stated on Customer's order, a $150 inoperable vehicle fee may apply.

The applicable fee should be included in the transportation price when the vehicle is correctly identified as inoperable when the order is placed.

Additional charges may apply when the vehicle's actual condition requires equipment or services beyond those reasonably anticipated from the information provided by Customer.


11. ELECTRIC AND ALTERNATIVE-FUEL VEHICLES

Customer is responsible for ensuring that an electric vehicle has sufficient battery charge to permit reasonable loading, unloading, and necessary transportation-related repositioning.

Customer must disclose any condition that prevents the vehicle from being placed into the appropriate transport, tow, neutral, or loading mode.

Charging cables, adapters, keys, cards, or other items necessary for normal operation should remain available when reasonably necessary for transportation.


12. VEHICLE PREPARATION

Customer is responsible for preparing the vehicle for transportation before the Carrier arrives.

Customer should:

· Remove prohibited personal property

· Secure or remove loose exterior accessories

· Retract or remove antennas when appropriate

· Secure convertible tops, removable panels, and similar components

· Ensure tires are reasonably inflated

· Ensure the battery is sufficiently charged

· Address significant fluid leaks

· Disable alarm systems or provide instructions for disabling them

· Provide all necessary keys or remotes

· Maintain approximately one-quarter tank of fuel or less whenever practicable

Carrier and ASAP are not responsible for loss or damage caused solely by loose, unsecured, defective, or improperly installed vehicle components for which they are not otherwise legally responsible.


13. PERSONAL ITEMS - CLOTHING ONLY

Customer may place up to 100 pounds of clothing inside the transported vehicle, subject to applicable law and the assigned Carrier's insurance requirements.

Clothing must be securely packed in:

· Suitcases

· Travel bags

· Duffel bags

· Boxes

· Similar secure containers

For passenger vehicles with a separate trunk, permitted clothing must be confined to the trunk.

For SUVs, crossovers, hatchbacks, and similar vehicles without a separate enclosed trunk, permitted clothing must be confined to the rear cargo/hatch area and remain below window level.

NO ITEMS MAY BE PLACED ON, UNDER, BEHIND, OR BETWEEN THE SEATS OR ANYWHERE IN THE PASSENGER SEATING AREA.

NO ITEMS MAY OBSTRUCT OR INTERFERE WITH VISIBILITY THROUGH THE REAR WINDOW, SIDE WINDOWS, OR ANY OTHER WINDOW OF THE VEHICLE.

The clothing allowance does not include:

· Household goods

· Furniture

· Electronics

· Appliances

· Tools

· Equipment

· Jewelry or valuables

· Hazardous materials

· Firearms

· Illegal items

· Other personal property that is not clothing

ASAP and the Carrier do not assume responsibility for personal clothing or other contents placed inside the vehicle except to the extent liability is imposed by applicable law.

Customer should not place cash, important documents, medications, jewelry, or valuable or irreplaceable items inside the vehicle.

The 100-pound clothing allowance is an ASAP contractual policy and is not represented as a federal household-goods allowance or exemption.


14. DOOR-TO-DOOR SERVICE

Transportation is arranged on a door-to-door basis to the extent that the pickup and delivery locations are legally and safely accessible to the Carrier's equipment.

Large automobile transporters may be unable to enter:

· Narrow residential streets

· Roads with low-hanging trees

· Roads with weight restrictions

· Roads with sharp turns

· Gated communities with inadequate access

· Areas with low bridges or overhead obstructions

· Locations that cannot safely accommodate Carrier equipment

When direct access is not reasonably possible, Customer and Carrier may arrange an appropriate nearby meeting location such as a safe parking lot or other mutually accessible location.


15. CARRIER IDENTITY AND VEHICLE RELEASE - IMPORTANT

ASAP will provide Customer with the name of the Motor Carrier assigned and authorized to transport Customer's vehicle.

Customer should verify that the Carrier arriving to pick up the vehicle is the Carrier identified by ASAP.

DO NOT RELEASE YOUR VEHICLE TO A DIFFERENT MOTOR CARRIER, TRANSPORT COMPANY, TOW COMPANY, DRIVER OPERATING UNDER ANOTHER CARRIER'S AUTHORITY, OR OTHER THIRD PARTY UNLESS ASAP HAS FIRST CONFIRMED THE CHANGE DIRECTLY WITH YOU.

If a truck, driver, or transportation company arrives and identifies itself as being associated with, dispatched by, working for, or sent by the assigned Carrier, but the company operating the truck does not match the Motor Carrier identified by ASAP, Customer should NOT RELEASE THE VEHICLE and should contact ASAP immediately for verification.

Customer should also contact ASAP before releasing the vehicle if:

· The Carrier name or company information does not match the Carrier information provided by ASAP

· The driver states that another transportation company was asked to pick up the vehicle

· The driver asks Customer to sign paperwork displaying a different Motor Carrier or transportation company

· The driver requests payment to a company or individual different from the payment information provided or confirmed by ASAP

· Customer has any reasonable concern regarding the identity or authorization of the Carrier or driver

ASAP DOES NOT AUTHORIZE THE ASSIGNED MOTOR CARRIER TO RE-BROKER, SUBCONTRACT, TRANSFER, OR TENDER YOUR VEHICLE TO ANOTHER MOTOR CARRIER OR TRANSPORTER.

Customer should rely upon Carrier information communicated directly by ASAP rather than information provided solely by an unknown driver, dispatcher, text message, or third party.

IF THERE IS ANY DISCREPANCY, DO NOT RELEASE THE VEHICLE. CONTACT ASAP FIRST.


16. CUSTOMER AVAILABILITY AT PICKUP AND DELIVERY

Customer or an authorized adult must be reasonably available for pickup and delivery.

The Carrier will ordinarily contact Customer before arrival to coordinate the location and approximate time.

If Customer cannot personally be present, Customer may designate another responsible adult to release or receive the vehicle.

Customer is responsible for ensuring that any required:

· Vehicle keys

· Auction release

· Dealership release

· Gate pass

· Authorization

· Identification

· Other required documentation

is available when required for pickup or delivery.

ONCE A CARRIER HAS BEEN ASSIGNED, CUSTOMER IS RESPONSIBLE FOR HAVING THE VEHICLE READY AND AVAILABLE FOR RELEASE DURING THE AGREED PICKUP PERIOD.

If the assigned Carrier arrives or is ready and able to perform the transportation but the vehicle cannot be released because of Customer's acts, omissions, unavailability, missing documentation, missing keys, change in plans, or another Customer-caused circumstance, the deposit/broker fee becomes and remains earned and nonrefundable as provided in Section 7.

ASAP will make reasonable efforts to arrange another Carrier if Customer still wishes to transport the vehicle, but a replacement Carrier may require a different pickup schedule or transportation rate.

If Customer or an authorized recipient is unavailable at delivery and the Carrier cannot reasonably complete delivery, storage, redelivery, or related expenses may be incurred by Customer when legally and contractually applicable.


17. DAYLIGHT PICKUP AND DELIVERY

ASAP requires vehicle pickup and delivery to occur during daylight hours so that the vehicle can be properly inspected.

PICKUP AND DELIVERY DURING NON-DAYLIGHT HOURS ARE NOT PERMITTED UNDER ASAP'S TRANSPORTATION REQUIREMENTS.

Customer should not release or accept the vehicle when there is insufficient natural daylight to reasonably inspect its condition.

If a Carrier attempts to pick up or deliver the vehicle during non-daylight hours, Customer should contact ASAP before releasing or accepting the vehicle.

A delay that causes arrival after daylight hours may require pickup or delivery to be rescheduled for daylight hours.


18. VEHICLE INSPECTION AND BILL OF LADING

The Carrier is required to perform a vehicle condition inspection and provide a Bill of Lading and/or vehicle condition report.

Customer or Customer's authorized representative should participate in the inspection at both pickup and delivery.

At pickup, Customer should carefully review the Carrier's inspection report and make certain that existing vehicle damage is accurately documented before signing.

At delivery, Customer should carefully inspect the vehicle and compare its condition with the pickup inspection.

Customer should not sign a Bill of Lading or delivery condition report without first reviewing the vehicle and the information recorded on the document.

Customer is strongly encouraged to take clear photographs of the vehicle at both pickup and delivery.

Photographs should include all sides of the vehicle and any existing or alleged damage.


19. DAMAGE AND CLAIMS

The Carrier has custody and control of the vehicle during physical transportation and is responsible for loss or damage to the extent provided by applicable law and the circumstances of the loss.

If Customer discovers or alleges transportation-related damage, Customer should:

· Notify the Carrier immediately

· Notify ASAP immediately

· Clearly note the alleged damage on the delivery Bill of Lading/condition report before signing whenever reasonably possible

· Take clear photographs of the alleged damage

· Retain copies of the pickup and delivery inspection reports

· Cooperate with reasonable requests for documentation relating to the claim

ASAP will assist Customer by providing available Carrier and transportation documentation reasonably necessary to facilitate communication concerning a viable claim.

Damage claims involving the Carrier are generally handled with the Carrier and/or Carrier's insurer.

ASAP does not determine insurance coverage and cannot guarantee that a particular claim will be accepted or paid by an insurer.

Customer's failure to document alleged damage at delivery may make it more difficult to establish when or how damage occurred but does not alter rights that cannot legally be waived.


20. CARRIER INSURANCE

ASAP requires Carriers used for its shipments to maintain required operating authority and insurance.

ASAP's Carrier requirements include, at minimum:

· $1,000,000 Commercial Automobile Liability

· $250,000 Motor Truck Cargo coverage applicable to automobiles being transported

ASAP may require higher cargo limits for higher-value vehicles or particular shipments.

Insurance coverage remains subject to the Carrier's actual policy terms, conditions, exclusions, limitations, deductibles, and applicable law.

ASAP's verification of insurance does not constitute a representation or guarantee that an insurer will provide coverage for every type of loss.


21. DELAYS AND EVENTS OUTSIDE REASONABLE CONTROL

Vehicle transportation is affected by conditions that may be outside ASAP's or the Carrier's reasonable control.

These may include:

· Severe weather

· Flooding

· Hurricanes

· Snow or ice

· Wildfires

· Road closures

· Traffic accidents

· Mechanical breakdowns

· Government restrictions

· Labor disruptions

· Natural disasters

· Other unforeseen transportation conditions

ASAP will make reasonable efforts to assist with communication and transportation arrangements when delays occur.

Estimated pickup and delivery dates may change because of these conditions.


22. STORAGE, REDELIVERY AND CUSTOMER UNAVAILABILITY

Customer is responsible for being reasonably available or designating an authorized adult to receive the vehicle.

Customer may be responsible for reasonable storage, redelivery, or related charges when such charges result from Customer's failure to accept delivery as reasonably arranged and the charges are legally and contractually applicable.

Carrier may not impose unauthorized charges contrary to ASAP's Dispatch/Load Confirmation or transportation requirements.

Customer should contact ASAP immediately if a Carrier demands an unexpected storage, redelivery, detention, or other additional charge.


23. RENTAL CARS, LODGING AND CONSEQUENTIAL EXPENSES

Unless otherwise required by applicable law, ASAP is not responsible for rental vehicle expenses, lodging, airfare, missed work, loss of use, storage resulting from Customer's acts or omissions, or other incidental or consequential expenses arising from estimated pickup or delivery dates or transportation delays.

Customers should not make nonrefundable travel or other arrangements that depend upon an estimated vehicle pickup or delivery date.


24. CUSTOMER CONTACT AND COMMUNICATION

Customer authorizes ASAP and the assigned Carrier to contact Customer regarding the shipment using the telephone numbers, email addresses, and other contact information provided with the order.

Customer is responsible for keeping contact information current until transportation is complete.

Customer should promptly notify ASAP of any change in:

· Telephone number

· Email address

· Pickup contact

· Delivery contact

· Pickup location

· Delivery location

· Vehicle condition

· Vehicle availability

· Other material shipment information

Material changes may affect the transportation rate, scheduling, or Carrier availability.


25. ELECTRONIC ACCEPTANCE OF TERMS

A handwritten signature is not required when Customer accepts these Terms & Conditions electronically.

By clicking "I Agree," checking an acceptance box, submitting an online order after being presented with these Terms & Conditions, electronically signing an order, or otherwise expressly authorizing ASAP to proceed after receiving these Terms & Conditions, Customer acknowledges that Customer has read, understands, and agrees to be bound by them.

Electronic acceptance shall have the same effect as acceptance by handwritten signature to the extent permitted by applicable law.


26. ENTIRE TRANSPORTATION ORDER

Customer's order confirmation, applicable written transportation instructions, and these Terms & Conditions constitute the terms governing ASAP's brokerage services for the shipment.

Any material change to the vehicle, route, transportation requirements, or other shipment information should be communicated to ASAP.

If a Carrier or driver requests a material change to the transportation price, payment method, pickup or delivery requirements, or other agreed shipment terms, Customer should contact ASAP before agreeing to the change.
